1. Acceptance of Terms

By accessing or using Out Rank ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not access or use the service.

2. Description of Service

Out Rank provides an AI-powered SEO content automation platform that helps users research keywords, generate SEO-optimized articles, and publish content to various CMS platforms. We reserve the right to modify, suspend, or discontinue the service at any time with reasonable notice.

3. Eligibility

You must be at least 18 years old to use Out Rank. By using the service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

4. Account Registration

To use Out Rank, you must create an account with accurate and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate billing and contact information

5. AI-Generated Content

Out Rank generates content using artificial intelligence based on your inputs. You acknowledge and agree that:

  • AI-generated content may contain errors, inaccuracies, or biases
  • You are solely responsible for reviewing, editing, and approving all AI-generated content before publishing
  • You retain full ownership of all content you generate using Out Rank
  • You must indicate that content is AI-generated if required by applicable law or platform policies

6. Acceptable Use

You agree not to use Out Rank to generate:

  • Content that is illegal, harmful, threatening, abusive, or offensive
  • Spam or low-quality content intended solely for search engine manipulation
  • Content that infringes on intellectual property rights
  • Misleading or deceptive content
  • Content that violates any applicable law or regulation

7. Your API Keys

If you use your own AI API keys (BYOK model):

  • You are responsible for compliance with your AI provider's terms of service
  • You bear all costs associated with API usage
  • You must keep your API keys secure and not share them

8. CMS Integrations

When you connect third-party CMS platforms (WordPress, Webflow, Shopify, Ghost) to Out Rank:

  • You authorize us to publish content to your connected platforms on your behalf
  • You are responsible for ensuring your CMS account has appropriate permissions
  • You must comply with each platform's terms of service when publishing content

9. Subscription and Payment

Subscription terms:

  • Payments are processed through Creem, our Merchant of Record
  • Subscriptions automatically renew unless canceled before the renewal date
  • All fees are exclusive of applicable taxes unless stated otherwise
  • You may cancel your subscription at any time through your account settings

10. Cancellation and Refunds

You can cancel your subscription at any time. Upon cancellation:

  • Your plan remains active until the end of the current billing period
  • You will not be charged for subsequent periods
  • Your data will be retained for 30 days after cancellation

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUT RANK AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

OUT RANK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

13. Indemnification

You agree to indemnify, defend, and hold harmless Out Rank and its affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the service, your content, or your violation of these Terms.

14. Termination

We may terminate or suspend your access to Out Rank immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the service will cease immediately.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Out Rank operates, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through the service. Your continued use after such changes constitutes acceptance of the modified Terms.
